But when you look back at Warner Bros.\u2018 long history of mergers and acquisitions, it is easy to see how poorly those deals have always shaken out for everyone except the involved companies\u2019 executive leadership. This <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2024\/10\/4\/24259360\/directv-dish-merger-timeline-aol-timewarner\">flavor of corporate consolidation<\/a> in pursuit of endless growth and increasing shareholder value has invariably led to devastating job cuts and price hikes for consumers \u2014 all while chipping away at the competitiveness that encourages companies to offer quality products.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">Acquisitions were part of Warner Bros.\u2019 corporate DNA long before Discovery came into the picture. Putting Warner Bros. up for sale back in 1956 and <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.hollywoodreporter.com\/business\/business-news\/warner-brothers-sell-1956-1235768464\/\">secretly orchestrating a plan<\/a> to buy a majority of the company\u2019s stock for himself is how Jack Warner was able to install himself as the studio\u2019s president. Subsequent deals throughout the \u201960s and \u201970s were key to Warner Bros.\u2019 continued survival during a time when it was still considered a Hollywood underdog compared to studios like Paramount, Metro-Goldwyn-Mayer, and Universal. But things had taken a turn by the early \u201990s when Warner Communications\u2019 dire financial situation led to it <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.latimes.com\/archives\/la-xpm-1989-06-17-mn-1593-story.html\">merging with HBO owner Time Inc<\/a>.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">For Time Warner \u2014 a company with roots in the very early 20th century \u2014 the \u201990s were a successful period of modernization and expansion that made it one of the most valuable entertainment giants in the world. That growth and the company\u2019s historical legacy are exactly what made it an acquisition target for America Online (AOL), which <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.washingtonpost.com\/archive\/politics\/2000\/01\/11\/aol-to-acquire-time-warner-in-record-183-billion-merger\/f3bf2f07-c32b-4052-b5a6-8489bb9d7013\/\">bought Time Warner Entertainment for around $182 billion in 2000<\/a>.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">It is hard to overstate just how catastrophically the AOL Time Warner deal worked out in the end. The general idea was that AOL\u2019s online platform could become a digital home for Time Warner\u2019s wide array of content, which would theoretically attract new subscribers. Time Warner\u2019s high-speed cable lines would provide the physical infrastructure necessary for AOL subscribers to access this media-rich content. This plan might have worked were it not for <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.tomshardware.com\/service-providers\/network-providers\/aols-dial-up-internet-service-killed-with-a-final-modem-screech-this-week-after-34-years-america-online-goes-offline-but-other-dual-up-services-still-exist\">the advent of broadband internet<\/a>, which was faster and more reliable than AOL\u2019s dial-up offerings, and within a couple years of the company\u2019s merger it was already bleeding billions of dollars.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">Thousands of AOL <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.nytimes.com\/2001\/01\/24\/business\/merger-over-the-new-aol-will-lay-off-2000-workers.html#:~:text=The%20newly%20combined%20AOL%20Time%20Warner%20began,the%20elimination%20of%20at%20least%202%2C000%20jobs.\">workers were laid off almost immediately<\/a>, and even more employees from AOL Time Warner\u2019s other divisions were left wondering if they might also lose their jobs after the company announced its plan to close Warner Bros. retail stores. The deal, which Time Warner executives <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.nytimes.com\/2010\/01\/11\/business\/media\/11merger.html\">at one point said<\/a> would \u201cunleash immense possibilities for economic growth, human understanding and creative expression,\u201d ultimately ruined lives and cut the company\u2019s value down to a fraction of what it had previously been. The situation also left Time Warner \u2014 which <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2013\/3\/6\/4072626\/time-warner-spinning-off-print-division-time-inc-to-focus-on-film-and-tv-businesses\">spun Time Inc. off in 2014<\/a> following a <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2013\/1\/30\/3934136\/media-juggernaut-time-inc-lays-off-six-percent-of-workforce\">round of layoffs<\/a> \u2014 with a massive amount of debt that still looms over present-day iterations of the company.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">That debt did not stop AT&amp;T from making a successful bid to <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2018\/6\/14\/17466518\/att-time-warner-acquisition-closes\">acquire Time Warner and rename it WarnerMedia in 2018<\/a> after a federal judge ruled against the Department of Justice\u2019s antitrust lawsuit meant to block the $85.4 billion deal. In contrast to the DOJ\u2019s insistence that the merger would reduce competition, <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2018\/3\/22\/17152518\/att-time-warner-merger-trial-justice-department\">AT&amp;T argued<\/a> that combining with WarnerMedia would help it put up a stronger fight against newer players like Netflix and Amazon. AT&amp;T also pointed to its rival <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.engadget.com\/2011-01-18-fcc-approves-comcasts-purchase-of-nbc-justice-department-up-ne.html\">Comcast\u2019s acquisition of NBCUniversal in 2011<\/a> as another example of how the public did not need to be concerned about vertical mergers (mergers between companies that are not rivals) for antitrust reasons.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _1xwtict1\">By 2020, the covid-19 pandemic\u2019s onset and an internal restructuring focused on streaming video initiatives put thousands of WarnerMedia employees out of work. Then-CEO Jason Kilar insisted that the job cuts were necessary \u201cfor us to evolve how we operate in the context of best serving customers.\u201d But that evolutionary path had seemingly hit a dead end by the following May, when AT&amp;T announced that it was in the <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.theverge.com\/2021\/5\/17\/22439964\/at-t-warnermedia-discovery-merger-spin-off\">process of selling WarnerMedia to Discovery<\/a> in a $43 billion all-stock deal that still left WarnerMedia and its new owner with that same looming debt.<\/p>\n<\/div>\n<div>\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph _1ymtmqpi _17nnmdy1 _17nnmdy0 _17nnmdya _1xwtict1\">History tells us that if and when that happens, more people will lose their jobs, consumers will be left with fewer options to choose from, and entertainment companies will have less of a reason to truly compete with one another. Zaslav and other members of WBD\u2019s leadership would be able to pat themselves on the back brokering a deal that enriches them personally.
