Only <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/mbw-plus\/\" target=\"_blank\" rel=\"noopener\"><span style=\"color: #ff6600;\">MBW+ subscribers<\/span><\/a> have unlimited access to these articles.<\/em><\/p>\n<div class=\"mb-advert__uber\">\n<div id=\"uberad\"><a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/yim2025.chartmetric.com\/\" target=\"_blank\" rel=\"noopener\"><\/a><\/div>\n<\/div>\n<hr\/>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">What will superfan tiers of tomorrow look like?<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">The major music companies have been signalling that higher-priced premium tiers with superfan perks are on the way, but on <a rel=\"nofollow\" target=\"_blank\" target=\"_blank\" class=\"link-relationship\" title=\"Companies &gt; Warner Music Group [3,483 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/access-industries\/warner-music-group\/\">Warner Music Group<\/a>\u2018s calendar Q4 earnings call, CEO <strong><a rel=\"nofollow\" target=\"_blank\" target=\"_blank\" class=\"link-relationship\" title=\"People &gt; Robert Kyncl [257 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/people\/robert-kyncl\/\">Robert Kyncl<\/a><\/strong> was bullish about one particular feature he believes will be included: the ability to make music using AI.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">\u201cWe clearly see a path to audience segmentation because creation is the ultimate expression of fandom,\u201d Kyncl said on Thursday (February 5). \u201cSo for us, superfan tiers of the future will all include AI functionality to create.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Kyncl revealed that WMG is in active discussions with DSPs about incorporating AI tools into anticipated higher-priced superfan tiers. \u201cWe\u2019re already in discussions with some of them,\u201d he said.<\/p>\n<p>Elsewhere on the call, Kyncl said WMG has \u201cdeployed AI across finance, legal, marketing, HR and more,\u201d adding that the technology enables the company to \u201cscale our marketing efforts beyond what\u2019s humanly possible.\u201d He said WMG is positioned to \u201cleverage AI across our three strategic priorities: growing share, growing the value of music and efficiency.\u201d<\/p>\n<p>But there was plenty more to digest beyond AI.<\/p>\n<p>Thursday\u2019s call also saw Kyncl and CFO Armin Zerza explain the company\u2019s M&amp;A strategy, with Zerza promising \u201cexciting announcements coming in the near future\u201d and confirming WMG plans to \u201cdeploy a significant portion\u201d of its catalog acquisition fund by the end of the fiscal year.<\/p>\n<p>Hours before the call, WMG filed an<strong> 8-K r<\/strong>evealing it was injecting an additional<strong> $200 million<\/strong> in equity into its catalog acquisition joint venture with Bain Capital (known as <strong>Beethoven JV<\/strong>), bringing total spending power to approximately<strong> $1.65 billion<\/strong>. As <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/warner-and-bain-increase-jv-fund-by-200m-will-red-hot-chili-peppers-deal-be-next\/\">we noted last week<\/a>, the timing suggests a significant catalog deal may be on the table, with the Red Hot Chili Peppers\u2019 recorded music rights rumored to be under consideration.<\/p>\n<p>WMG <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/wmg-generated-1-84bn-in-calendar-q4-recorded-music-subscription-streaming-revenues-jump-10-9-yoy\/\">posted<\/a> calendar Q4 revenues of $1.84 billion (up <span style=\"color: #008000;\"><strong>7.1% YoY<\/strong><\/span> at constant currency), with recorded music subscription streaming up <span style=\"color: #008000;\"><strong>10.9% YoY<\/strong><\/span> and adjusted EBITDA up <strong>22%<\/strong> to <strong>$463 million<\/strong>. Recorded music revenues hit <strong>$1.48 billion<\/strong> (up <span style=\"color: #008000;\"><strong>6.6% YoY<\/strong><\/span>), while <a rel=\"nofollow\" target=\"_blank\" target=\"_blank\" class=\"link-relationship\" title=\"Companies &gt; Warner Chappell Music [860 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/access-industries\/warner-music-group\/warner-chappell-music\/\">Warner Chappell<\/a>\u2018s publishing revenues reached $362 million (up <span style=\"color: #008000;\"><strong>9.4% YoY<\/strong><\/span>). WMG expects Suno to become a \u2018material\u2019 revenue driver<\/h6>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Warner\u2019s executives provided their most detailed comments yet on the financial impact they\u2019re expecting from AI music partnerships.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">CFO Armin Zerza confirmed that WMG\u2019s <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/warner-music-group-settles-with-suno-strikes-first-of-its-kind-deal-with-ai-song-generator\/\" target=\"_blank\" rel=\"noopener\">deal with Suno<\/a>, which made Warner the first major label to strike a licensing agreement with the AI music generator, is structured on a \u201cvariable and accretive basis,\u201d with compensation tied to consumption.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Zerza noted that Suno is \u201calready earning multiple hundred million dollars of annual revenue\u201d and said WMG expects the partnership to deliver \u201cmaterial top and bottom line growth\u201d starting in fiscal 2027.<\/p>\n<p>Suno closed a $250 million Series C round in November at a $2.45 billion post-money valuation. The <em>Wall Street Journal<\/em> reported at the time that Suno had reached $200 million in annual revenue, mainly derived from subscriptions.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">\u201cWe will grow as those platforms grow and accretive because we\u2019ll grow ARPU,\u201d Zerza explained, adding that WMG\u2019s deals with Suno, Udio, Stability and others were all designed with higher average revenue per user in mind, \u201creflecting the interactive nature of the platforms.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Zerza, who spent a decade in gaming, drew a parallel to that industry\u2019s transition from physical to digital: \u201cWhen gaming moved from physical to a digital experience, and gamers started to interact with games more and communicate more with each other\u2026 we had the opportunity to introduce multiple different business models. And that\u2019s what our partners are intending to do here.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">He added: \u201cARPU on the industry will dramatically increase.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Kyncl also highlighted \u201csurprisingly high\u201d engagement from WMG\u2019s artist and songwriter roster on AI initiatives. \u201cA lot of artists and songwriters are curious about the future,\u201d he said. \u201cThey hear and read about these things, and many of them want to get involved early on.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">On the call, Kyncl reiterated the \u201cnon-negotiable principles\u201d he first laid out in a November blog post, where he vowed to \u201clegislate, litigate, license\u201d in the era of AI music creation. At that time, Suno remained unlicensed. WMG is about to go on a major catalog spending spree<\/h6>\n<p>Warner announced it has <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/warner-and-bain-increase-jv-fund-by-200m-will-red-hot-chili-peppers-deal-be-next\/\" target=\"_blank\" rel=\"noopener\">increased the capacity<\/a> of its acquisition <a rel=\"nofollow\" target=\"_blank\" class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/warner-confirms-details-of-1-2bn-jv-with-bain-venture-will-raise-up-to-700m-in-debt\/\" target=\"_blank\" rel=\"noopener\">joint venture with Bain Capital<\/a> from $1.2 billion to approximately $1.65 billion.<\/p>\n<p>WMG and Bain have each made an additional $100 million equity commitment to the JV, bringing total equity to $700 million ($350 million each). With the existing debt-to-equity ratio maintained, that $200 million in fresh equity unlocks proportional additional debt \u2014 hence the $450 million increase in total firepower.<\/p>\n<p>Zerza said the expansion was driven by a \u201crobust and growing pipeline\u201d of opportunities, and promised \u201cexciting announcements coming in the near future.\u201d<\/p>\n<p>\u201cWe plan to deploy a significant portion of the JV\u2019s total capacity by the end of this fiscal year,\u201d he added.<\/p>\n<p>The focus will be on \u201chigh-quality, accretive catalog acquisitions\u201d across both recorded music and publishing. Zerza also noted WMG is looking at opportunities to \u201cacquire capabilities to accelerate some of our business,\u201d including in distribution and direct-to-consumer.<\/p>\n<p>Zerza was bullish on the opportunity set: \u201cAs I travel around the world, there are opportunities everywhere in every corner of the market.\u201d<\/p>\n<p>He also emphasized the strength of WMG\u2019s partnership with Bain, noting that the private equity firm\u2019s team \u201chas experience in the industry to identify opportunities and working them together, which gives us really a competitive edge relative to some of the other partners that are out there.\u201d<\/p>\n<p>Zerza framed the catalog push as part of a broader capital allocation overhaul at WMG. \u201cWe have moved from basically looking at individual deals to looking at our entire deal portfolio,\u201d he explained. \u201cWe do thousands of deals a year. TikTok deal renewed \u2014 but Kyncl played down its significance<\/h6>\n<p>Kyncl confirmed WMG has renewed its licensing agreement with TikTok, describing the new terms as an improvement on the previous deal.<\/p>\n<p>\u201cWe\u2019re very happy with our partnership with TikTok in general,\u201d he said, noting that \u201cmany of our artists are extremely popular on TikTok\u201d and that the platform is utilized heavily for new releases.<\/p>\n<p>The new agreement \u201ccontains structural changes that better reflect the value of music,\u201d Kyncl said, while declining to disclose specific deal terms.
