Ahead of Thursday\u2019s investors call, Penn Entertainment on Monday appointed three independent directors \u2013 Heather Ace, Jeffrey Fox and Fabio Schiavolin.<\/p>\n
In connection with these appointments, the company has entered into a cooperation agreement with HG Vora Capital Management and some of its affiliates.<\/p>\n
\u201cOn behalf of the board, we are pleased to welcome Heather, Jeff and Fabio, highly accomplished individuals who each bring deeply relevant experience,\u201d Penn Entertainment Board Chair David Handler said in a statement.<\/p>\n
The cooperation agreement between Penn and HG Vora, which will be filed with the Securities and Exchange Commission on a Form 8-K, includes customary voting, standstill and other provisions that will remain in effect through the 2027 annual meeting of shareholders.<\/p>\n
Ace is Qualcomm Executive Vice President and Chief Human Resources Officer. Previously, she was the Dexcom Chief Human Resources Officer and Executive Vice President of Global HR at Orexigen Therapeutics. Ace alo has been the business integration leader for Royal Philips\u2019 HealthTech acquisition of Volcano Corporation, the Executive Vice President of Global HR at Volcano Corporation and held various HR executive roles at Life Technologies. Ace also was a partner at Gray Cary Ware & Freidenrich (now DLA Piper).<\/p>\n
Fox is Circumference Group CEO and founder, overseeing the firm\u2019s management and business strategy. He most recently served as President and CEO of Endurance International Group Holdings. Fox also has served as President and CEO of Convergys Corporation and held multiple positions at Alltel Corporation. Fox began his career in investment banking at Merrill Lynch and Stephens.<\/p>\n
Schiavolin\u00a0is the former CEO of\u00a0Snaitech S.p.A., a public company in\u00a0Italy\u00a0dedicated to the gaming and entertainment sector. As CEO of\u00a0Snaitech, he participated in the company\u2019s merger with Playtech, an international company focused on gaming technology with operations in more than 17 countries.<\/p>\n
Prior to Snaitech, Schiavolin created Cogetech, a key player in the Italian gaming machine market, which merged with Snai in 2015 to form Snaitech. Schiavolin started his career at Cirsa, a Spanish multinational casino and gambling machine operator.<\/p>\n<\/p><\/div>\n
