(Image: HG Vora)<\/figcaption><\/figure>\n<p>He won the permit by a 2-1 vote five months after his HG Vora Capital Management ended <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.casino.org\/news\/iss-endorses-hg-vora-in-penn-entertainment-proxy-fight\/\">a lengthy rift<\/a> with Penn \u2014 one that involved an extended <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.casino.org\/news\/vora-blasts-penn-says-company-reneged-on-director-nominee-plan\/\">proxy fight<\/a> in which the activist investor pushed to have three of its candidates added to the regional casino operator\u2019s board of directors.<\/p>\n<p>Over the time of that proxy battle, which was a multi-year saga, Vora sharply critiqued Penn\u2019s board, accusing directors of indulging CEO Jay Snowden\u2019s ill-fated sports betting industry whims while continuing to lavish significant compensation upon him. The hedge fund also <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.casino.org\/news\/hg-vora-wants-penn-entertainment-to-reconfigure-board\/\">said the composition<\/a> of Penn\u2019s board violated Pennsylvania law and was an affront to investor democracy.<\/p>\n<p><strong>Those hardline tactics weren\u2019t lost on NGC members with Commissioner Brian Krolicki noting Vora\u2019s efforts in the Penn fight were \u201caggressive.\u201d While commissioners seemingly viewed Vora\u2019s moves as heavy-handed, they noted the hedge fund\u2019s behavior wasn\u2019t out of the ordinary regarding how some large activists deal with companies in which they hold stakes.<\/strong><\/p>\n<h2>Questions Abound on Why Vora Needs Nevada License<\/h2>\n<p>At one point, HG Vora\u2019s Penn stake <a rel=\"nofollow\" target=\"_blank\" href=\"https:\/\/www.casino.org\/news\/hg-vora-takes-sizable-activist-stake-in-penn-entertainment\/\">grew to 18.5%<\/a>, but it has since dwindled to 4.32% and as part of the February accord struck between the casino operator and the investor, the hedge fund agreed to not exceed 5% ownership in the gaming company.<\/p>\n<div class=\"callout\">\n<p>Penn, the largest regional casino operator in the U.S., runs just two Nevada gaming venues \u2014 the M Resort Spa Casino in Henderson and Cactus Petes Resort Casino in Jackppot. Still, given the size of Vora\u2019s Penn holdings, it\u2019s not clear why the hedge fund boss needs a Nevada license.<\/p>\n<\/div>\n<p>\u201cAnyone acquiring beneficial ownership of more than 10% of any class of voting securities generally initiates a requirement to file an application for a full finding of suitability by the Commission,\u201d according to Lewis and Roca Lawyers.<\/p>\n<p>Any shareholder that controls 5% to 10% of a publicly traded gaming company doing business in Nevada is required by law to engage in mandatory reporting with the NGCB.<\/p>\n<h2>Vora Could Mull Other Casino Investments<\/h2>\n<p>HG Vora is well-known in gaming circles.
