(NYSE: <a target=\"_blank\" rel=\"nofollow\" target=\"_blank\" class=\"ticket-symbol\" data-toggle=\"modal\" href=\"#financial-modal\">MSGE<\/a>) (&#8220;MSG Entertainment&#8221; or the &#8220;Company&#8221;) today reported financial results for the fiscal second quarter ended <span class=\"xn-chron\">December 31, 2024<\/span>.<\/p>\n<p>The fiscal 2025 second quarter was highlighted by another record-setting run for the <i>Christmas Spectacular. <\/i>In its 91st holiday season, approximately 1.1 million tickets were sold across 200 shows, as compared to over 1 million tickets sold over 193 shows last season. During the quarter, the Company also welcomed a wide variety of other live events across its portfolio of venues, including the return of the New York Knicks (&#8220;Knicks&#8221;) and New York Rangers (&#8220;Rangers&#8221;) to the Madison Square Garden Arena (&#8220;The Garden&#8221;) for the start of their 2024-25 regular seasons. In addition, in December, the Company announced that it had repurchased approximately <span class=\"xn-money\">$25 million<\/span> of its\u00a0MSGE Class A common stock.<\/p>\n<p>For the fiscal 2025 second quarter, the Company reported revenues of <span class=\"xn-money\">$407.4 million<\/span>, an increase of <span class=\"xn-money\">$4.8 million<\/span>, or 1%, as compared to the prior year quarter. In addition, the Company reported operating income of <span class=\"xn-money\">$139.0 million<\/span>, an increase of <span class=\"xn-money\">$1.6 million<\/span>, or 1%, and adjusted operating income of <span class=\"xn-money\">$164.0 million<\/span>, an increase of <span class=\"xn-money\">$3.9 million<\/span>, or 2%, both as compared to the prior year quarter.<sup>(1)<\/sup> Fiscal 2025 second quarter operating income included <span class=\"xn-money\">$4.5 million<\/span> and adjusted operating income included <span class=\"xn-money\">$3.1 million<\/span>, respectively, in executive management transition costs. Excluding these costs, operating income would have been <span class=\"xn-money\">$143.5 million<\/span>, an increase of 4%, and adjusted operating income would have been <span class=\"xn-money\">$167.2 million<\/span>, an increase of 4%, both as compared to the prior year period.<\/p>\n<p>Executive Chairman and CEO <span class=\"xn-person\">James L. The decrease in revenues from concerts reflects lower per-concert revenues, primarily due to a shift in the mix of events at The Garden from promoted events to rentals, and a decrease in the number of concerts at The Garden, both as compared to the prior year quarter.<\/li>\n<li>Revenues from the <i>Christmas Spectacular<\/i> production increased <span class=\"xn-money\">$15.1 million<\/span>, primarily due to higher ticket-related revenues, which reflected higher per-show revenue and, to a lesser extent, two additional performances as compared to the prior year quarter.<\/li>\n<li>Revenues subject to the sharing of economics with MSG Sports pursuant to the Arena License Agreements increased <span class=\"xn-money\">$7.7 million<\/span>, primarily due to higher suite license fee revenues as compared to the prior year quarter.<\/li>\n<\/ul>\n<p>Fiscal 2025 second quarter arena license fees and other leasing revenues of <span class=\"xn-money\">$29.8 million<\/span> increased <span class=\"xn-money\">$4.2 million<\/span>, or 16%, as compared to the prior year period, due to a combined three more Knicks and Rangers games played at The Garden in the current year period and an increase in other leasing revenues.<\/p>\n<p>Fiscal 2025 second quarter direct operating expenses associated with entertainment offerings, arena license fees and other leasing of <span class=\"xn-money\">$164.3 million<\/span> decreased <span class=\"xn-money\">$7.7 million<\/span>, or 4%, as compared to the prior year quarter, primarily due to lower event-related expenses, partially offset by an increase in expenses related to the sharing of economics with MSG Sports pursuant to the Arena License Agreements.<\/p>\n<ul type=\"disc\">\n<li>Event-related expenses decreased <span class=\"xn-money\">$13.7 million<\/span>, primarily due to lower per-concert expenses due to a shift in the mix of events at The Garden from promoted events to rentals and, to a lesser extent, a decrease in the number of concerts at The Garden, partially offset by higher expenses for other live entertainment and sporting events.<\/li>\n<li>Expenses associated with the sharing of economics with MSG Sports pursuant to the Arena License Agreements increased <span class=\"xn-money\">$6.6 million<\/span>, primarily due to higher expenses incurred as a result of the increase in suite license fee revenues.<\/li>\n<\/ul>\n<p><b><u>Food, Beverage and Merchandise<br class=\"dnr\" \/><\/u><\/b>Fiscal 2025 second quarter food, beverage and merchandise revenues of <span class=\"xn-money\">$59.3 million<\/span> increased <span class=\"xn-money\">$0.6 million<\/span>, or 1%, as compared to the prior year period. The increase was primarily due to (i) the impact of a combined three more Knicks and Rangers games played at The Garden and two additional <i>Christmas Spectacular<\/i> performances, both as compared to the prior year quarter, (ii) higher per-event revenues across both the Knicks and Rangers games at The Garden and the <i>Christmas Spectacular<\/i> production as well as (iii) other revenue increases, partially offset by (iv) lower food and beverage sales at concerts, primarily at The Garden.<\/p>\n<p>Fiscal 2025 second quarter food, beverage and merchandise direct operating expenses of <span class=\"xn-money\">$32.8 million<\/span> increased <span class=\"xn-money\">$2.0 million<\/span>, or 7%, as compared to the prior year period. The increase was primarily due to an increase in food and beverage sales at Knicks and Rangers games at The Garden and at the <i>Christmas Spectacular<\/i> production as well as other cost increases, partially offset by a decrease in food and beverage costs related to concerts, primarily at The Garden.<\/p>\n<p><b><u>Selling, General and Administrative Expenses<br class=\"dnr\" \/><\/u><\/b>Fiscal 2025 second quarter selling, general and administrative expenses of <span class=\"xn-money\">$57.2 million<\/span> increased <span class=\"xn-money\">$8.8 million<\/span>, or 18%, as compared to the prior year period. The increase was primarily due to (i) higher employee compensation and benefits, including the impact of executive management transition costs of <span class=\"xn-money\">$4.5 million<\/span> recognized in the current year quarter; and (ii) higher rent expense, both as compared to the prior year quarter.<\/p>\n<p><b><u>Operating Income and Adjusted Operating Income<br class=\"dnr\" \/><\/u><\/b>Fiscal 2025 second quarter operating income of <span class=\"xn-money\">$139.0 million<\/span> increased <span class=\"xn-money\">$1.6 million<\/span>, or 1%, as compared to the prior year period, primarily due to lower direct operating expenses and higher revenues, partially offset by the increase in selling, general and administrative expenses.
