Section 228 of the DGCL provides that any action that may be taken at any annual<br \/>\nor special meeting of stockholders may be taken without a meeting, without prior notice and without a vote, if a consent or consents<br \/>\nin writing, setting forth the action so taken, shall be signed by the holders of outstanding Common Stock having not less than the minimum<br \/>\nnumber of votes that would be necessary to authorize or take such action at a meeting at which all shares entitled to vote thereon were<br \/>\npresent and voted. In order to eliminate the costs and management time involved in holding a meeting, the holders<br \/>\nof approximately 95.3% of the voting power of our Common Stock and 98.1% of the voting power of our Class E Common Stock elected<br \/>\nto utilize this provision under Delaware law and provide their written consent for the Amendment.<\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><!-- Field: Page; Sequence: 4; Options: NewSection --><\/p>\n<p>    <!-- Field: \/Page --><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span><b>THE<br \/>\nAMENDMENT AND RESTATEMENT OF THE ARTICLES OF INCORPORATION<\/b><\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span>We<br \/>\nhave received approval from the Majority Stockholders of the Amendment to our Certificate of Incorporation, in substantially the form<br \/>\nattached to this Information Statement as <u>Appendix A<\/u>, to eliminate Class E Common Stock voting rights, except as required by law.<\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span><b>Reasons<br \/>\nfor Amending and Restating the Certificate of Incorporation<\/b><\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span>The<br \/>\nMajority Stockholders believe it is in our best interests and the best interests of our stockholders to amend and restate our Certificate<br \/>\nof Incorporation such that Class E Common Stock voting rights are eliminated. The Company and the Majority Stockholders believe that<br \/>\nthe existence of the voting rights creates confusion in the markets regarding the actual voting rights of controlling stockholders and<br \/>\nmay be an impediment to being included on certain stock indexes, such as the Russell 3000. One of the requirements FTSE Russell applies<br \/>\nwhen considering including an issuer\u2019s common stock on the Russell 3000 index is that at least 5% of the company\u2019s shares<br \/>\nentitled to vote be in the hands of \u201cunrestricted shareholders.\u201d Currently, approximately 3,371,581 shares of Class A Common<br \/>\nStock and no shares of Class E Common Stock are held by unrestricted shareholders. Based on the 50,979,630 and 60,000,000 shares of Class<br \/>\nA Common Stock and Class E Common Stock issued and outstanding as of June 24, 2026 representing 110,979,630 shares entitled to vote,<br \/>\napproximately 3.0% of the Common Stock are held by unrestricted shareholders. Upon elimination of the voting rights of Class E Common<br \/>\nStock, there will only be 50,979,630 shares entitled to vote, of which 6.6% will be held by unrestricted stockholders. Accordingly, the<br \/>\nCompany will meet this condition for listing on the Russell 3000, although there can be no assurance that the Common Stock will be so<br \/>\nincluded on the index or any other index in the future.<\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span>On<br \/>\nFebruary 10, 2023, in connection with the issuance of the Class E Common Stock, the Company and the holders of the Class E Common Stock<br \/>\nentered into the Contingent Consideration Escrow Agreement (the \u201cContingent Consideration Escrow Agreement\u201d) pursuant<br \/>\nto which, among other things, the holders of the Class E Common Stock agreed to vote their shares of Class E Common Stock in the same<br \/>\nproportion as all Class A Common Stock held by all other stockholders of the Company are voted. Notwithstanding anything to the contrary in this Article V, the number of directors<br \/>\nthat may be elected by the holders of any such series of Preferred Stock shall be in addition to the number fixed pursuant to paragraph<br \/>\nB of this Article V, and the total number of directors constituting the whole Board of Directors shall be automatically adjusted accordingly.<br \/>\nExcept as otherwise provided in the Certificate of Designation(s) in respect of one or more series of Preferred Stock, whenever the holders<br \/>\nof any series of Preferred Stock having such right to elect additional directors are divested of such right pursuant to the provisions<br \/>\nof such Certificate of Designation(s), the terms of office of all such additional directors elected by the holders of such series of<br \/>\nPreferred Stock, or elected to fill any vacancies resulting from the death, resignation, disqualification or removal of such additional<br \/>\ndirectors, shall forthwith terminate (in which case each such director thereupon shall cease to be qualified as, and shall cease to be,<br \/>\na director) and the total authorized number of directors of the Corporation shall automatically be reduced accordingly.<\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span><b>ARTICLE<br \/>\nVI<\/b><\/span><\/p>\n<p><span><b>BYLAWS<\/b><\/span><\/p>\n<p><span>\u00a0<\/span><\/p>\n<p><span>In<br \/>\nfurtherance and not in limitation of the powers conferred by statute, the Board of Directors is expressly authorized to adopt, amend<br \/>\nor repeal the Amended and Restated Bylaws of the Corporation (as amended and\/or restated from time to time).
