VANCOUVER, British Columbia, January 26, 2026–(BUSINESS WIRE)–Thunderbird Entertainment Group Inc. (“Thunderbird” or the “Company”) (TSXV: TBRD) (OTCQX: THBRF), a global award-winning, full-service multiplatform production, distribution and rights management company, announces that the Supreme Court of British Columbia issued a final order today in connection with the previously announced plan of arrangement under the Business Corporations Act (British Columbia) (the “Arrangement”) pursuant to which Blue Ant Media Corporation (“Blue Ant”) (TSX: BAMI) will acquire all of the outstanding shares in the capital of Thunderbird (the “Shares”). The final order was the final substantive court approval required prior to the closing of the Arrangement. Assuming all other terms and conditions, including applicable stock exchange and regulatory approvals, to the Arrangement are satisfied, it is expected that the Arrangement will be completed in the coming weeks.
The Arrangement was approved by Thunderbird shareholders at a special meeting held on January 22, 2026. It is anticipated that the Shares will be delisted from the TSX Venture Exchange (“TSXV”) and the OTC Markets and that Blue Ant will apply to have Thunderbird cease to be a reporting issuer in all jurisdictions in which it is a reporting issuer under Canadian securities laws, in each case shortly after completion of the Arrangement.
